White Label & Wholesale Terms & Conditions

These Terms & Conditions apply to all white-label, private-label and wholesale products supplied by Fern Dale Handcrafted (“Fern Dale”, “we”, “us” or “our”) to businesses purchasing products for resale or professional use (“Customer”, “you” or “your”).

By placing a white-label or wholesale order, you confirm that you are purchasing in the course of business and agree to these Terms & Conditions.

1. Our white-label service

Fern Dale manufactures a range of finished products which may be supplied for resale under a Customer’s own branding.

Unless expressly agreed otherwise in writing, white-label products are supplied using Fern Dale’s existing approved formulations, specifications, packaging options and manufacturing processes.

White-label purchasing does not transfer ownership of Fern Dale’s formulations, manufacturing methods, safety documentation, Product Information Files, assessments or other intellectual property.

2. Minimum order quantity

Our standard minimum order quantity (“MOQ”) is 10 units of each individual product, fragrance or variant unless otherwise stated on the relevant product page.

Different products, fragrances, sizes or variants cannot normally be combined to meet an individual product’s MOQ.

Higher MOQs may apply to certain products, bespoke packaging or specially sourced components.

3. White-label options

Customers may choose from the options available for the particular product.

Fern Dale compliance label

We supply the product with the appropriate regulatory/product information label applied. The Customer may supply or apply its own approved front branding where applicable.

Customer-produced labels

Where this option is offered, Fern Dale will provide the approved information required for the product label.

Before manufacture or sale, the Customer must provide Fern Dale with the final artwork for approval.

Approval is limited to ensuring that Fern Dale-required product information has been reproduced appropriately and does not constitute approval of the Customer’s trademarks, intellectual property or wider marketing materials. 

Fern Dale label-design service

Fern Dale can design white-label artwork using the Customer’s branding for an additional fee.

Initial product label design: £45

including one initial design and up to two rounds of reasonable minor amendments.

Once that design style has been established:

Additional products using the same design: £25 each.

Significant redesigns, creation of logos or brand identities, additional concepts and extensive amendments would be quoted separately.

Fern Dale can professionally print bespoke designs and apply labels at additional cost. 

Design fees become non-refundable once design work has commenced.

4. Artwork and intellectual property

Customers are responsible for ensuring that they have the legal right to use all business names, logos, trademarks, photographs, artwork and other materials supplied to Fern Dale.

By providing material to us, the Customer grants Fern Dale permission to reproduce it solely as reasonably necessary to fulfil the order.

Fern Dale accepts no responsibility for intellectual-property infringement arising from materials supplied or expressly requested by the Customer.

5. Artwork approval

Where Fern Dale produces or reviews artwork, a final proof will be supplied for approval where appropriate.

The Customer is responsible for checking its own business name, logo, spelling, contact information and other Customer-supplied content.

Production will not begin until any required artwork approval has been received.

Once artwork has been approved, amendments may incur additional design, printing or production charges.

This does not remove Fern Dale’s responsibility for regulatory information for which Fern Dale is legally responsible.


Cosmetic products

6. Responsible Person

For cosmetic products supplied under Fern Dale’s managed white-label service, Fern Dale Handcrafted is intended to remain the Responsible Person (“RP”) for the cosmetic product, as identified on the product label.

Fern Dale will maintain the regulatory documentation and undertake the RP functions applicable to the cosmetic product, including the Product Information File (“PIF”), Cosmetic Product Safety Report/safety assessment and required GB cosmetic product notification.

The Customer’s brand may appear on the front or elsewhere on the product, while the approved Fern Dale Handcrafted Responsible Person information must remain on the product in the form specified by Fern Dale.

The RP name/address, quantity where applicable, durability/PAO, precautions, batch identification, product function where required and ingredient information form part of the statutory cosmetic labelling requirements. 

Product Naming

Customers may sell white-label products under a product name of their own choosing and are not required to use Fern Dale Handcrafted’s retail product name. Any alternative name must not be misleading, imply a medicinal or therapeutic purpose, or make claims beyond those approved by Fern Dale Handcrafted. Where Fern Dale Handcrafted remains the Responsible Person, we reserve the right to require amendment of a proposed product name where we reasonably consider that it may affect the product’s regulatory compliance or approved claims.

7. Cosmetic formulations may not be altered

Customers must not:

  • dilute, reformulate or add ingredients to a product;
  • remove ingredients;
  • decant a product into alternative packaging;
  • substitute packaging without Fern Dale’s written approval;
  • remove or obscure required regulatory information;
  • alter batch information;
  • alter instructions or precautions;
  • sell a product in a form different from that approved by Fern Dale.

Any requested change to formula, packaging, intended use or presentation must be discussed with Fern Dale before implementation.

A change may require additional safety assessment, stability/compatibility work, PIF updates, notification or other regulatory work and will be quoted separately.

8. Customer-produced cosmetic labels

Where a Customer wishes to design and print its own labels, Fern Dale will provide the regulatory information that must be included.

Final artwork must be approved by Fern Dale before the product is offered for sale.

The Customer must reproduce Fern Dale-supplied regulatory information accurately and must not remove, amend, abbreviate or replace it without written permission.

Fern Dale reserves the right to refuse approval of artwork which we reasonably believe would result in non-compliant presentation or labelling.

9. Cosmetic claims and marketing

Customers may use product descriptions and claims expressly supplied or approved by Fern Dale.

Customers must not make additional medicinal, therapeutic, clinical, performance or other claims about a product without prior written approval from Fern Dale.

This includes claims made on websites, social media, advertisements, marketplaces, printed materials or verbally when selling the product.

Examples might include claims that a product treats eczema, cures acne or causes lashes to grow, unless an appropriate claim has specifically been approved and substantiated.

This matters because cosmetic claims must be truthful, evidence-supported and must not imply characteristics or functions that the product does not possess. 

10. Batch traceability and product safety

Fern Dale will allocate appropriate batch identification to products where required.

Customers must not remove or obscure batch information and should maintain sufficient sales records to assist with product traceability.

Any suspected product defect, safety concern, significant customer reaction or other potentially serious issue must be reported to Fern Dale promptly, together with the product name and batch information where available.

Fern Dale may require the Customer to stop selling affected stock while an issue is investigated.

Where necessary, Fern Dale may require withdrawal or recall of affected products.

Serious undesirable effects have specific reporting obligations for the Responsible Person. 


Home fragrance & other products

11. Product information and safety labelling

Where Fern Dale supplies required safety, hazard, CLP or other product information, that information must be retained and reproduced exactly as instructed.

Customers must not remove required warnings, pictograms, allergen information, identifiers or other safety information.

Where Customer-designed packaging is permitted, Fern Dale may require artwork approval before production.

12. Product modification

White-label home-fragrance products must be sold as supplied.

Customers must not add fragrance, colourants or other materials; change wicks or candle vessels; combine products; alter formulations; or otherwise modify products unless expressly agreed in writing.


Orders and manufacture

13. Prices

White-label and wholesale prices are those shown on our website or provided in a written quotation at the time an order is placed.

Additional charges may apply for bespoke labels, label printing, packaging, design work, special components or other requested services.

14. Payment

Unless Fern Dale expressly agrees otherwise in writing, white-label and bespoke orders must be paid in full before production begins.

An order is not accepted for manufacture merely because an enquiry, quotation or draft artwork has been provided.

15. Production lead times

Our normal white-label production lead time is approximately 10–15 working days.

Lead times commence once:

(a) cleared payment has been received;
(b) all required information has been supplied; and
(c) final artwork has been approved where applicable.

Lead times are estimates rather than guaranteed delivery dates.

Larger orders, specially sourced packaging/components, high-demand periods and products requiring additional production, curing, testing or preparation may require longer.

Where we know before accepting an order that a materially longer lead time is likely, we will advise the Customer.

16. Stock and raw-material availability

White-label manufacture is subject to reasonable availability of ingredients, packaging and components.

Where circumstances outside our reasonable control affect availability, Fern Dale may propose a suitable alternative, revised lead time or refund for affected products.

We will not substitute a cosmetic ingredient, formulation or material where doing so would compromise the approved product specification without carrying out the necessary regulatory assessment.

17. Cancellations and changes

Because white-label products are manufactured or prepared specifically for the Customer, orders cannot normally be cancelled once production has commenced.

Label-design fees are non-refundable once design work begins.

Requests to change quantities, products, packaging or artwork after approval may result in additional charges and a revised lead time.

Nothing in these terms affects remedies available where Fern Dale has supplied products that are faulty, incorrectly manufactured or materially different from the agreed order.

18. Delivery, shortages and damage

Customers should inspect deliveries promptly after receipt.

Any visible damage, shortages or incorrect items should be reported to Fern Dale within 3 working days of delivery, with photographs where reasonably required.

Latent defects that could not reasonably have been identified on initial inspection should be reported promptly after discovery.

19. Storage and handling

Once received, products must be stored and handled in accordance with instructions supplied by Fern Dale and under conditions appropriate to the product.

Fern Dale cannot accept responsibility for deterioration or damage resulting from inappropriate storage, exposure to excessive heat/cold, contamination, misuse or alteration after delivery.


Wholesale Fern Dale products

20. Fern Dale branded wholesale

Customers may also purchase selected finished Fern Dale-branded products for resale where wholesale purchasing is offered.

Fern Dale branding, regulatory labels, batch information and product presentation must not be removed or altered.

Wholesale Customers are retailers of Fern Dale products and may not present Fern Dale-branded products as products manufactured under their own brand.


General terms

21. Confidential information and formulations

Fern Dale’s formulations, manufacturing specifications, PIFs, safety assessments, testing information and other confidential technical documentation remain the property/confidential information of Fern Dale and/or relevant third-party rights holders.

Purchasing a white-label product does not entitle the Customer to receive its complete quantitative formulation, PIF, CPSR or proprietary manufacturing information except where disclosure is legally required.

There are specific public-access obligations for cosmetic information, but these do not generally require disclosure of the complete quantitative formula and recognise commercial secrecy around fragrance information. 

22. Resale

Customers are responsible for conducting their own retail business lawfully, including their pricing, customer service, sales channels, tax obligations and compliance with requirements applicable to them as retailers.

Products may only be offered in territories for which Fern Dale has confirmed the product and its regulatory arrangements are suitable.

Standard white-label products are supplied for the Great Britain market (England, Scotland and Wales) unless expressly agreed otherwise.

Fern Dale may provide Recommended Retail Prices (RRPs) for wholesale products as non-binding guidance to support consistent brand positioning. Stockists remain responsible for determining their own retail selling prices.

23. Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Subject to applicable law, Fern Dale will not be responsible for loss arising from a Customer’s unauthorised alteration of products or labels, use of unapproved claims or artwork, inappropriate storage or handling, unlawful resale, or failure to follow instructions supplied with the products.

24. Events outside our reasonable control

Fern Dale will not be responsible for delay or failure caused by circumstances reasonably beyond our control, including supplier disruption, transport disruption, shortages of materials, severe weather, utility failures or other comparable events.

Where such an event materially affects an order, we will contact the Customer as soon as reasonably practicable.

25. Changes to these terms

We may update these Terms from time to time.

The Terms applying to an order will normally be those in force when that order is accepted, unless a change is required by law or expressly agreed between us.

26. Governing law

These Terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales shall have jurisdiction, subject to any mandatory legal requirements to the contrary.
