Wholesale & White Label Terms and Conditions
Last updated: 17 October 2026
These Terms and Conditions apply to all wholesale, white-label and private-label products supplied by Fern Dale Handcrafted, trading as Fern Dale Rituals ("Fern Dale", "we", "us" or "our"), to businesses buying products for resale or professional use ("Customer", "you" or "your").
By placing a wholesale or white-label order, you confirm that you are buying in the course of business and agree to these Terms and Conditions.
How these terms are arranged
- Part A — Terms for every trade order (wholesale and white label)
- Part B — Wholesale (Fern Dale-branded products for resale)
- Part C — White Label (products sold under your own brand)
- Part D — General terms
Which service is which?
- Wholesale: you buy finished Fern Dale Rituals products and sell them in your shop as Fern Dale Rituals.
- White label: you sell products made to Fern Dale's formulations under your own brand name.
Part A — Terms for every trade order
A1. Trade accounts
Trade ordering is available to approved businesses only. We may ask for reasonable information about your business before approving an account, and may decline or close an account at our discretion.
Once approved, you will receive a private ordering link. Please keep it secure and do not share it outside your business.
A2. Prices
Trade prices are those shown in your trade ordering link or given in a written quotation when you place an order.
Fern Dale Handcrafted is not VAT registered, so no VAT is charged.
Extra charges may apply for delivery, bespoke labels, label printing, packaging, design work, special components or other services you ask for. These will be confirmed on your invoice.
A3. Packs and minimum order quantity
Products are supplied in packs of 10 units for each individual product, fragrance or variant, unless a product listing says otherwise.
Different products, fragrances, sizes or variants cannot be combined to make up a pack.
Higher minimums may apply to some products, bespoke packaging or specially sourced components.
A4. Ordering and acceptance
An order placed through your trade link, or confirmed in writing, is a request to buy. It is accepted when we confirm it and send your invoice.
An enquiry, quotation or draft artwork is not an accepted order.
A5. Payment
Unless we agree otherwise in writing, orders must be paid in full before production or dispatch begins.
A6. Sample credit
You may buy a single sample of a product at its normal retail price. Once your trade account is approved, half of what you paid for that sample is taken off your first pack of 10 of the same product.
Sample credit applies once per product, cannot be exchanged for cash, and expires 6 months after the sample was bought.
A7. Lead times
Our normal lead time is about 10–15 working days.
Lead times start once: (a) payment has cleared; (b) we have all the information we need; and (c) any artwork has been approved.
Lead times are estimates, not guaranteed delivery dates.
Larger orders, specially sourced packaging or components, busy periods and products needing extra production, curing (for example soap), testing or preparation may take longer. If we know before accepting your order that it will take noticeably longer, we will tell you.
A8. Availability of ingredients and materials
Production depends on reasonable availability of ingredients, packaging and components.
If something outside our reasonable control affects availability, we may suggest a suitable alternative, a revised lead time, or a refund for the affected products.
We will not substitute a cosmetic ingredient, formulation or material in a way that changes the approved product without first carrying out the necessary regulatory assessment.
A9. Delivery, shortages and damage
Delivery charges are confirmed on your invoice. Risk in the goods passes to you on delivery.
Please inspect deliveries promptly. Report any visible damage, shortages or incorrect items within 3 working days of delivery, with photographs where reasonably required.
Report hidden faults that could not reasonably have been spotted on delivery promptly after you find them.
A10. Storage and handling
Store and handle products according to our instructions and in conditions suitable for the product.
We cannot accept responsibility for deterioration or damage caused by unsuitable storage, excessive heat or cold, contamination, misuse or alteration after delivery.
A11. Product information, safety labelling and modification
All required regulatory, safety, hazard, CLP, allergen, batch and ingredient information must stay on the product exactly as supplied or specified by us.
Products must be sold as supplied. You must not reformulate, dilute, add to, decant, repackage, combine or otherwise alter any product, or change wicks or candle vessels, unless we agree in writing.
A12. Batch traceability and product safety
Do not remove or cover batch information, and keep enough sales records to help trace products if needed.
Tell us promptly about any suspected defect, safety concern, notable customer reaction or other potentially serious issue, giving the product name and batch number where possible.
We may ask you to stop selling affected stock while we investigate, and where necessary to withdraw or recall it.
Serious undesirable effects carry specific reporting duties for the Responsible Person.
A13. Claims and marketing
You may use product descriptions and claims that we have supplied or approved.
You must not make any other medicinal, therapeutic, clinical, performance or other claims without our written approval — on websites, social media, adverts, marketplaces, printed materials or when speaking to customers. For example, you must not say a product treats eczema or cures acne.
A14. Cancellations and changes
White-label orders and orders made specially for you cannot normally be cancelled once production has started.
Wholesale orders of standard Fern Dale products may be cancelled free of charge before we have started making or packing them.
Changing quantities, products, packaging or artwork after approval may mean extra charges and a new lead time.
Nothing in these terms affects your remedies where we supply products that are faulty, made incorrectly or materially different from what was agreed.
A15. Returns
Trade products are not returnable simply because you no longer want them or they have not sold. Faulty, incorrect or damaged products are dealt with under A9 and A14.
Part B — Wholesale (Fern Dale-branded products)
B1. What wholesale is
Wholesale customers buy finished Fern Dale Rituals products to sell in their own shop, salon or online store as Fern Dale Rituals products.
B2. Branding and presentation
Fern Dale branding, labels, batch information and product presentation must not be removed, covered or altered.
You may not present Fern Dale products as made by you or under your own brand. If you would like that, please ask about our white-label service (Part C).
B3. Using our name, photos and descriptions
You may use the Fern Dale Rituals name, logo, product photos and product descriptions we provide only to sell genuine Fern Dale products bought from us. Please do not change our descriptions in a way that adds claims (see A13). We may ask you to stop using any of this material at any time.
B4. Recommended retail prices
We may provide Recommended Retail Prices (RRPs) as non-binding guidance. You remain free to set your own selling prices.
B5. Online marketplaces
You must ask us, and receive our written agreement, before listing Fern Dale products on third-party marketplaces such as Amazon, eBay or Etsy.
Where you sell online, the required product information (including ingredients and safety information) must be shown to customers before they buy.
B6. Responsible Person
For Fern Dale-branded cosmetics, Fern Dale Handcrafted is the Responsible Person and holds the Product Information File and safety assessment.
Part C — White Label (your own brand)
C1. Our white-label service
Fern Dale makes a range of finished products that may be supplied for resale under your own branding.
Unless we agree otherwise in writing, white-label products use Fern Dale's existing approved formulations, specifications, packaging options and manufacturing processes.
Buying white-label products does not transfer ownership of our formulations, manufacturing methods, safety documentation, Product Information Files, assessments or other intellectual property.
C2. Label options
You may choose from the options available for each product:
- Fern Dale compliance label — we apply the required regulatory/product information label. You may supply or apply your own approved front branding where applicable. Included.
- Your own labels — where offered, we provide the approved information that must appear on your label. You must send us the final artwork for approval before manufacture or sale.
- Fern Dale label-design service — we design your label artwork using your branding:
- First product label design: £45, including one initial design and up to two rounds of reasonable minor amendments.
- Further products using the same design style: £25 each.
- Significant redesigns, logos or brand identities, extra concepts and extensive amendments are quoted separately.
- We can also print and apply labels at extra cost, quoted for your label size and material.
- Design fees are non-refundable once design work has started.
C3. Artwork and intellectual property
You are responsible for making sure you have the legal right to use all business names, logos, trademarks, photographs, artwork and other materials you give us.
You give us permission to reproduce them only as reasonably needed to fulfil your order.
We accept no responsibility for intellectual-property infringement arising from materials you supply or ask us to use.
C4. Artwork approval
Where we produce or review artwork, we will send a final proof for approval where appropriate.
You are responsible for checking your own business name, logo, spelling, contact details and other content you supplied.
Production will not begin until any required approval has been received. Changes after approval may incur extra design, printing or production charges.
Our approval only covers the Fern Dale-required product information. It is not approval of your trademarks, intellectual property or wider marketing. This does not remove our responsibility for regulatory information we are legally responsible for.
We may refuse to approve artwork that we reasonably believe would make the product's labelling non-compliant.
C5. Responsible Person (cosmetics)
For cosmetic products supplied under our managed white-label service, Fern Dale Handcrafted remains the Responsible Person (RP), as shown on the product label.
We maintain the regulatory documentation and carry out the RP duties for the product, including the Product Information File (PIF), Cosmetic Product Safety Report and the required GB cosmetic product notification.
Your brand may appear on the front or elsewhere on the product, but the Fern Dale Handcrafted Responsible Person details must stay on the product in the form we specify, together with the other required label information (quantity where applicable, durability/PAO, precautions, batch number, function where required, and ingredients).
C6. Product names
You may sell white-label products under a product name of your own choosing. The name must not be misleading, suggest a medicinal or therapeutic purpose, or make claims beyond those we have approved. Because we remain the Responsible Person, we may ask you to change a name we reasonably believe could affect compliance or approved claims.
C7. Changes to formula, packaging or use
Please discuss any requested change to formula, packaging, intended use or presentation with us first. A change may need further safety assessment, stability or compatibility work, PIF updates or notification, which will be quoted separately.
Part D — General terms
D1. Confidential information and formulations
Our formulations, manufacturing specifications, PIFs, safety assessments, testing information and other technical documents remain the confidential property of Fern Dale and/or relevant third-party rights holders.
Buying trade products does not entitle you to the full quantitative formula, PIF, safety report or manufacturing information, except where disclosure is legally required.
D2. Your retail business
You are responsible for running your retail business lawfully, including pricing, customer service, sales channels, tax and any requirements that apply to you as a retailer.
Products are supplied for sale in Great Britain (England, Scotland and Wales) only, unless we agree otherwise in writing.
D3. Liability
Nothing in these Terms excludes or limits liability where that would be unlawful.
Subject to the law, we are not responsible for loss caused by unauthorised alteration of products or labels, use of unapproved claims or artwork, unsuitable storage or handling, unlawful resale, or failure to follow our instructions.
Otherwise, our total liability for any order is limited to the price paid for that order.
D4. Events outside our reasonable control
We are not responsible for delay or failure caused by circumstances reasonably beyond our control, including supplier or transport disruption, shortages of materials, severe weather or utility failures. If this materially affects your order, we will contact you as soon as reasonably possible.
D5. Changes to these terms
We may update these Terms from time to time. The Terms that apply to an order are normally those in force when the order is accepted, unless a change is required by law or agreed between us.
D6. Governing law
These Terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction.
